By accessing or using the IoT GPS AI website (iotgpsai.com), platform (app.iotgpsai.com), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and IoT GPS AI, operated in Ontario, Canada.
IoT GPS AI provides an IoT and GPS tracking intelligence platform that allows users to:
The Service is provided on a subscription basis with various plans and pricing tiers.
You must be at least 18 years old and capable of forming a binding contract to use the Service.
You are responsible for providing accurate registration information, maintaining the confidentiality of your login credentials, all activities that occur under your account, and notifying us immediately of any unauthorized access.

Violation of these terms may result in immediate account termination.
You are solely responsible for ensuring your use of GPS tracking complies with all applicable federal, provincial, and local laws, including obtaining consent from individuals being tracked, notifying employees if tracking company vehicles, complying with privacy legislation (PIPEDA), and using tracking data only for legitimate business purposes.
IoT GPS AI provides the technology platform only. We do not provide legal advice and are not responsible for your compliance with applicable laws.
Service fees are based on your selected plan and number of devices. Fees are billed monthly or annually as specified at signup.
Payment is due at the beginning of each billing period. We accept major credit cards and other payment methods as displayed. All fees are in Canadian dollars unless otherwise specified. Fees are non-refundable except as required by law.
We may change fees with 30 days' notice. Continued use after the change constitutes acceptance of new pricing.
Accounts with overdue balances may be suspended. We reserve the right to charge interest on overdue amounts at 1.5% per month.
You retain ownership of all data you upload or generate through the Service ("Your Data"), including GPS coordinates, device information, and reports.
You grant us a limited license to use, process, and store Your Data solely to provide the Service to you.
The Service, including all software, designs, text, graphics, and other content, is owned by IoT GPS AI and protected by intellectual property laws.
You may export Your Data at any time through the Service interface or by contacting support.
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be unavailable due to scheduled maintenance, unscheduled maintenance or emergency repairs, and factors beyond our control.
GPS data accuracy depends on many factors including device quality, satellite availability, and environmental conditions. We do not guarantee the accuracy, completeness, or timeliness of location data.
The Service supports various GPS tracking devices. We do not manufacture these devices and are not responsible for device defects, malfunctions, or compatibility issues.
GPS devices require cellular data connectivity to transmit data. Cellular service is provided by third-party carriers. We are not responsible for carrier coverage, outages, or fees.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IOT GPS AI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; DAMAGES ARISING FROM RELIANCE ON GPS DATA ACCURACY; OR DAMAGES EXCEEDING THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless IoT GPS AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, your violation of any laws or third-party rights, and your tracking activities and compliance with applicable laws.
You may cancel your account at any time through the Service interface or by contacting support.
We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, engage in fraudulent or illegal activity, or use the Service in a way that harms us or other users.
Upon termination, your access to the Service will cease, we may delete Your Data after 30 days, fees paid are non-refundable, and provisions that should survive will remain in effect.
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada. You consent to the exclusive jurisdiction of these courts.
Before initiating formal proceedings, you agree to contact us at legal@iotgpsai.com to attempt to resolve the dispute informally.
We may modify these Terms at any time. We will notify you of material changes by posting the revised Terms on our website and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable Partner Agreement, constitute the entire agreement between you and IoT GPS AI.
Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
